Rhode, the lifestyle brand founded in 2022 by model and influencer Hailey Bieber, has agreed to be acquired by e.l.f. Beauty in a blockbuster $1 billion deal.
e.l.f. announced the acquisition Wednesday, with plans to add the fast-growing beauty brand to its stable that already includes e.l.f. Cosmetics, e.l.f. SKIN, Keys Soulcare, Naturium, and Well People. Rhode had total sales of $212 million in the year ended March 31, 2025, the companies say, and the products will launch in Sephora later this year.
The deal is comprised of a $600 million cash payment, $200 million in shares of e.l.f. stock to Rhode’s existing equityholders, and a $200 million earnout that would be payable over three years based on hitting performance goals.
Bieber, who is also married to pop star Justin Bieber, will remain with the company as chief creative officer and head of innovation, with CEO Nick Vlahos also continuing in that role.
Rhode has quickly become a significant player in the space, with Bieber becoming a frequent presence on the circuit.
“We can’t wait to bring rhode to more faces, places, and spaces. From day one, my vision for Rhode has been to make essential skin care and hybrid makeup you can use every day,” said Bieber in a statement. “Just three years into this journey, our partnership with e.l.f. Beauty marks an incredible opportunity to elevate and accelerate our ability to reach more of our community with even more innovative products and widen our distribution globally. As I continue as Founder and step into an expanded role of chief creative officer and head of innovation, I look forward to leading the brand into this exciting new chapter of possibilities alongside my Co-Founders Michael D. Ratner and Lauren Ratner, who have helped bring my vision to life from the start.”

“e.l.f. Beauty found a like-minded disruptor in rhode,” added e.l.f. chairman and CEO Tarang Amin. “rhode further diversifies our portfolio with a fast-growing brand that makes the best of prestige accessible. We are excited by rhode’s ability to break beauty barriers, fully aligning with e.l.f. Beauty’s vision to create a different kind of company. rhode is a beautiful brand that we believe is ready for rocketship growth.”
The Rhode deal is one of the biggest for a celebrity-backed company since Ryan Reynolds’ Mint Mobile sold to T-Mobile for $1.3 billion in 2023. Skincare, beauty and fashion have become particularly ripe areas for actors, influencers and others to explore, with the subject matter also serving as a popular genre of content on social platforms like Instagram and TikTok. Kim Kardashian’s Skims, for example, now has a $4 billion valuation.
